Looks like Musk added Quinn Emmanuel to legal team and they will take lead at trial. Probably a slight upgrade over Skadden for litigation.

Can someone explain why a judge might prefer specific performance instead of just ordering Elon to make a payment to make twitter whole? It seems like a bad outcome for all involved to force the parties into a relationship they don’t want, and there should be some amount of money that would be fair to Twitter. I guess I just don’t understand the legal theory, IANAL though.

Having Musk write a check for the difference isn’t a remedy that the judge can legally order.
Also if he’s out the difference (as noted, not a remedy available) he may as well just close and own the company for the same price.
The sensible outcome is a settlement somewhere between $1 billion and $20 billion but Elon Musk is fucking crazy and quite possibly manic so who knows.
The contract limits cash damages to $1 billion but requires him to buy the company. It doesn’t seem to give the court an option to split the difference or something though musk and twitter could settle without a court judgment in that way. Twitter management has a fiduciary responsibility to their shareholders to make him buy the company. I don’t think it’s true that Elon doesn’t want to own twitter, he just doesn’t want to pay what he bargained for it since the market has now dropped.

Srsly what happened to Twitter. For few weeks now I get shown random tweets from people which are labelled under few categories. Now I got shown a tweet as science from a science denier. Wtf is going on?
